Terms of Service

Welcome to Denta11y. These Terms of Service ("Terms") govern your access to and use of the Denta11y platform, website, and related services (collectively, the "Service") provided by Denta11y, Inc. ("Denta11y," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

2. Description of Service

Denta11y provides a web accessibility compliance platform designed specifically for dental practices. Our Service includes automated website accessibility scanning, issue detection and reporting, auto-fix plugins, expert remediation services, ongoing monitoring, and compliance documentation. The Service is provided on a software-as-a-service (SaaS) basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

4. Subscription & Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to the following:

• Billing Cycle. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are quoted in U.S. dollars unless otherwise stated.
• Automatic Renewal. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings.
• 30-Day Money-Back Guarantee. If you are not satisfied, you may request a full refund of your first subscription payment by emailing [email protected] within 30 days of that payment. No justification is required. We process approved refunds within 5 business days; your bank may take an additional 5–10 days to post them. Requesting a refund cancels the subscription. • Other Refunds. Beyond the guarantee above, fees for subsequent billing periods are non-refundable except where required by law. If you cancel a subscription, you will retain access to the Service through the end of your current billing period.
• Price Changes. We may adjust pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to scan, test, or interact with websites you do not own or have authorization to assess.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (other than the Service itself) to access or scrape the Service.
• Transmit any malicious code, viruses, or harmful content through the Service.
• Resell, sublicense, or redistribute the Service or any reports generated by it without our prior written consent.
• Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users' access.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, algorithms, text, graphics, logos, and documentation — are owned by Denta11y or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit to the Service (such as website URLs or practice information). By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. Accessibility scan reports and remediation recommendations generated by the Service are provided for your internal business use only.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DENTA11Y AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DENTA11Y DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS NOT A SUBSTITUTE FOR LEGAL ADVICE. WHILE WE STRIVE TO PROVIDE ACCURATE ACCESSIBILITY ASSESSMENTS, WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL PREVENT LAWSUITS OR ENSURE FULL LEGAL COMPLIANCE.

8. Indemnification

You agree to indemnify, defend, and hold harmless Denta11y and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to the Service. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease. We may retain certain data as required by law or for legitimate business purposes. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitations of liability, indemnification, and governing law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
